Welcome to Letscms Private Limited. These Terms of Service govern the use of our software development services, including consultation, design, development, deployment, and maintenance of software solutions. By engaging with our services, you agree to comply with these Terms.
1. Definitions
- “Company” refers to Letscms private Limited, its subsidiaries, affiliates, and employees.
- “Client” refers to any individual, business, or organization that engages the Company for software development services.
- “Services” refers to software development, consulting, design, implementation, maintenance, and related activities provided by the Company.
- “Deliverables” refers to any software, code, documentation, or products developed by the Company under a client agreement.
2. Scope of Services
- The Company agrees to provide software development services as per the terms defined in a mutually agreed Service Agreement or Project Proposal.
- The Client must provide clear project requirements, timely feedback, and necessary resources for successful project completion.
- Any changes in the scope after project commencement may require additional costs and time adjustments.
3. Payment & Fees
- The Client agrees to pay the fees as outlined in the service agreement or invoice.
- Payments must be made according to the agreed schedule. Late payments may incur additional charges or service suspension.
- If the Client cancels a project after initiation, the Company reserves the right to charge for completed work on a pro-rata basis.
4. Intellectual Property Rights
- Ownership of the final Deliverables will be transferred to the Client upon full payment unless otherwise agreed.
- The Company retains the right to reuse generic code, algorithms, and non-client-specific components for future projects.
- Any third-party tools or open-source components used in development will be subject to their respective licenses.
5. Confidentiality
- Both parties agree to keep all project-related information, trade secrets, and proprietary materials confidential.
- The Company will not disclose or share any Client information without prior consent, except as required by law.
6. Warranties & Liabilities
- The Company warrants that the software will function as per agreed specifications upon delivery.
- Any defects found within 5 days of delivery will be fixed at no additional cost.
- The Company is not liable for third-party software failures, misuse of the software by the Client, or system failures due to external factors.
7. Limitation of Liability
- The Company will not be responsible for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the software.
- The total liability of the Company shall not exceed the total amount paid by the Client for the specific project.
8. Support & Maintenance
- Support and maintenance services will be provided as per the agreement. Additional support beyond the agreed period may be chargeable.
- The Client is responsible for server hosting, domain, and third-party software costs unless otherwise agreed.
9. Termination of Services
- Either party may terminate the agreement with prior written notice of 2 days.
- The Client must pay for all completed work up to the termination date.
- Upon termination, the Company will provide the Client with all agreed deliverables and remove access to any Company-owned systems or repositories.
10. Amendments & Updates
- The Company reserves the right to update these Terms at any time. Clients will be notified of significant changes.customised product will not get updated
